These Terms of Use (the “Terms”) are a legally binding agreement between Bridgent Academy, LLC (“Bridgent Academy,” “we,” “us,” or “our”) and any individual or entity who visits our website at https://www.bridgentacademy.com (the “Site”) or uses our services, including webinars, workshops, courses, consulting, downloads, and related materials (collectively, the “Services”). By accessing the Site or using the Services, you agree to these Terms.
These Terms are a general template and not legal advice. Please consult your counsel to ensure they meet your specific needs and jurisdictional requirements.
1. Who we are
Bridgent Academy, LLC provides educator training and consulting for professionals transitioning from industry to teaching roles in CTE, healthcare, and K–12 settings.

2. Eligibility & accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. If an account feature is enabled in the future, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
3. Changes to the Terms
We may update these Terms from time to time. The “Last updated” date indicates the latest revision. Material changes will be highlighted or otherwise communicated where appropriate. Your continued use of the Site/Services after changes become effective constitutes acceptance.
4. Orders, payments, cancellations & refunds
Ordering & payment (if enabled in the future). Prices will be shown at checkout or in a proposal/statement of work. Taxes may apply. Payments are processed by third‑party providers; we do not store full payment card details on our servers.
Cancellations & rescheduling (events/webinars). Unless otherwise stated, cancellations received 7 or more days before the live event qualify for a full refund. Cancellations within 7 days are non-refundable, and we do not offer rescheduling or credits.
Consulting & custom work. For consulting and custom training, the proposal/SOW will control (including deposits, milestones, deliverables, and cancellation terms). If no SOW is in place, cancellations within 14 days of the scheduled start date may incur a reasonable fee to cover non‑recoverable preparation time.
No‑shows. We may treat no‑shows as attended and non‑refundable for live events.
Substitutions. We reserve the right to substitute instructors or modify event content while maintaining stated learning objectives.
5. License to use materials
Unless a different license is explicitly provided in writing, all training materials, videos, slides, workbooks, templates, and other content we provide are licensed to the purchasing organization or individual for personal or internal educational use only. You may not copy, record, distribute, resell, post publicly, or create derivative works without our prior written consent. All rights not expressly granted are reserved by Bridgent Academy and its licensors.
6. Intellectual property
The Site and Services (including text, graphics, logos, videos, and downloadable content) are protected by copyright, trademark, and other laws. BRIDGENT ACADEMY and associated marks, logos, and product names are trademarks of Bridgent Academy, LLC. You may not use our trademarks without our written permission.
7. Acceptable use & community standards
You agree not to:
- Interfere with the security or proper functioning of the Site/Services
- Attempt to access accounts or data without authorization
- Upload or transmit malware or other harmful code
- Harass, threaten, or abuse staff, instructors, or other participants
- Use the Services to develop competing products/services or for any unlawful purpose
We may remove participants who violate these standards and, where appropriate, terminate access without a refund.
8. Recordings, photography & testimonials
Live sessions may be recorded for quality, accessibility, or on‑demand access. By participating, you consent to being recorded. You may turn off your camera or request a non‑identifying alias if offered. Testimonials or case studies are published only with your consent.
9. CEUs, certificates & accreditation
We may provide certificates of completion or, where available, continuing education units (CEUs). Awarding CEUs may require attendance verification and/or passing assessments. Unless expressly stated, participation does not guarantee licensure, certification, or accreditation approvals. Your institution, board, or accreditor determines acceptance.
10. Third‑party services
We may integrate third‑party tools (e.g., Zoom, Calendly, payment processors, LMS platforms). Your use of those services is governed by the providers’ terms and privacy policies. We are not responsible for third‑party services.
11. Professional & educational disclaimers
Content is for educational purposes only and is not legal, medical, or compliance advice. You are responsible for evaluating applicability to your institution, accreditation, or jurisdiction and for following your organization’s policies and laws.
12. AI‑related features
If we demonstrate or provide access to AI tools, outputs may be incomplete or contain errors. You are responsible for independently verifying any AI‑generated content before use, and for complying with your institution’s policies and applicable laws.
13. Privacy
Our collection and use of personal information is described in our Privacy Policy, incorporated by reference.
14. DMCA & IP complaints
If you believe content on the Site infringes your copyright, send a notice that includes: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) a statement of good‑faith belief; (e) a statement that the information is accurate and, under penalty of perjury, you are authorized to act; and (f) your physical or electronic signature. 15. Disclaimer of warranties
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE OR UNINTERRUPTED.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BRIDGENT ACADEMY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE RELEVANT SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
17. Indemnification
You agree to indemnify and hold harmless Bridgent Academy and its officers, directors, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.
18. Governing law & disputes
These Terms are governed by the laws of the State of Washington, without regard to its conflict of law rules. The exclusive venue for any dispute shall be the state or federal courts located in Franklin County, Washington. You consent to personal jurisdiction in those courts. (If you prefer arbitration, replace this section with an arbitration clause approved by your counsel.)
19. Termination
We may suspend or terminate access to the Site/Services at any time for any reason, including violations of these Terms. Upon termination, sections that by their nature should survive (e.g., intellectual property, disclaimers, limitations of liability, indemnification) will remain in effect.
20. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign your rights without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
